Acceptance of Terms
Your agreement to use our platform.
By accessing or using Folio's services, including our website, applications, and AI digital twin platform, you agree to be bound by these Terms of Service. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use our Services. We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the 'Last Modified' date.
Account Terms
Rules for creating and maintaining your account.
Account Creation
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your login credentials.
Age Requirements
You must be at least 16 years old to use our Services. If you are between 16 and 18, you represent that you have obtained parental or guardian consent.
Account Security
You must notify us immediately if you become aware of any unauthorized access to your account.
One Account Per Person
Each individual may only maintain one Folio account. We reserve the right to suspend duplicate accounts.
Use of Services
Licenses, rights, and service levels.
License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes.
Digital Twin Training
When you provide content to train your digital twin, you retain ownership of your original content. You grant Folio a worldwide, royalty-free license to use this content solely to provide and improve the Services.
AI-Generated Content
Your digital twin generates responses based on training data and our AI models. You are responsible for reviewing and approving the information your digital twin provides.
Service Availability
We strive to maintain 99.9% uptime but do not guarantee uninterrupted access.
Prohibited Activities
What you cannot do on our platform.
You agree not to use our Services to:
- Create digital twins that impersonate other individuals without their explicit consent
- Generate, distribute, or facilitate harmful, illegal, or misleading content
- Engage in fraud, phishing, or other deceptive practices
- Violate any applicable laws, regulations, or third-party rights
- Interfere with or disrupt the integrity or performance of our Services
- Attempt to gain unauthorized access to our systems, networks, or data
- Use automated means to access the Services without our express permission
- Train competing AI models using our Services or outputs
Intellectual Property
Ownership of content and technology.
Folio's Intellectual Property
The Services, including our AI models, software, algorithms, designs, trademarks, and documentation, are owned by Folio and protected by intellectual property laws.
Your Content
You retain all rights to the content you provide to train your digital twin. By uploading content, you represent that you have the necessary rights to use and share such content.
Feedback
If you provide suggestions, ideas, or feedback about our Services, we may use this information without obligation to compensate you.
DMCA Compliance
We respect intellectual property rights. If you believe content on our Services infringes your copyright, send a DMCA notice to dmca@folio.inc.
Payments & Subscriptions
Billing terms and cancellation policies.
Billing
Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law.
Price Changes
We may change our prices with 30 days' notice. Price changes will take effect at the start of your next billing period.
Automatic Renewal
Subscriptions automatically renew unless you cancel before the renewal date. You can cancel anytime through your account settings.
Free Trial
We may offer free trials for certain plans. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel.
Termination
Ending the agreement.
Termination by You
You may terminate your account at any time through your account settings or by contacting support@folio.inc.
Termination by Folio
We may suspend or terminate your account immediately if you violate these Terms, engage in prohibited activities, or fail to pay fees when due.
Effect of Termination
Upon termination: (a) your license to use the Services ends immediately; (b) we may delete your data within 30 days; (c) you remain liable for any accrued fees.
Data Export
We provide 30 days after termination notice to export your data. After this period, we may delete your data without further notice.
Limitation of Liability

Disclaimer of Warranties
THE SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOLIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Liability Cap
OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO FOLIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
Governing Law & Disputes

Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
Dispute Resolution
Before filing any legal claim, you agree to attempt informal resolution by contacting legal@folio.inc. If we cannot resolve the dispute within 60 days, either party may proceed with binding arbitration.
Arbitration
Any disputes not resolved informally shall be resolved through binding arbitration administered by JAMS. Arbitration shall take place in San Francisco, California.
Class Action Waiver
YOU AND FOLIO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY.
